1. INTRODUCTION AND ACCEPTANCEYve / DEITYVE ("I", "me" and "my"),
a freelancer artist, offers services consisting of digital art and
character designing commissions (hereinafter referred to as "creations" and "products") and pre-made character designs (hereinafter also referred to as "adoptable(s)").
This Terms of Service
("TOS" and "terms") document governs the rights and the use of my services and creations by the purchaser and/or the current owner ("owner(s), "purchaser(s), "commissioner(s)", "you" and "yours") of anything made by me.
By purchasing my services
and/or owning anything created by me, the purchaser/owner automatically agrees to have read and accepted all the terms described herein.

2. PAYMENT AND PRICES
.
1. Payment should be done only upon a written confirmation sent by me to the commissioner/purchaser of the purchase of my services/creations.
Any payment sent without a previous notice will be considered a tip.

2. Payment should only be done:
I. Upfront, through an invoicing sent by me;
III. Through PayPal or Ko-Fi;
II. Within 48 hours from when the invoice is sent.
No work will be done / no character will be transferred until full payment is received.

3. Refunds/Chargebacks are absolutely prohibited for any reason whatsoever.
No situation will be accepted as excuse for a refund/chargeback.
.
4. My prices are in USD.
Other currencies may be accepted – the value will be equivalent to the USD price at the time of payment.

5. The prices of my commissions/characters are subject to change over time.
The amount to be charged is always the one currently listed on commission/character profiles, forms or advertisments made by me.

6. The price of a commission may be subject to increase in case it includes any complex or overly detailed elements such as designs, backgrounds, poses, objects or clothing. The increase is referred to as "complexity fee".
Complexity fees vary according to the complexity of the elements of the commission.
If a complexity fee is applicable, the commissioner will be told beforehand.

7. The PayPal/Ko-Fi account and money used to pay me must be owned by the commissioner/purchaser.
If the PayPal/Ko-Fi account used to pay me does not belong to the commissioner/purchaser, the later must have explicit permission from the owner to use the account to pay for my services/characters.

8. If commissioning through forms (as described in section 3), the PayPal email used for invoicing must be the same as the one on the filled commission request form.
In case the email needs to be changed, the commissioner must edit the form to reflect the email used.

9. PayPal invoices sent by me include, in the observation/message:
I. A confirmation I'm the one sending the invoice (my username and which social media I'm using for communication with the commissioner/purchaser);
II. A reminder refunds/chargebacks are not allowed;
III. The current link to my TOS. *
* PayPal may alter the link to my TOS when the invoice is sent, usually by adding spaces within the link.

3. ORDERING COMMISSIONS & CHARACTER PURCHASES
.
1. Ordering (also referred to as "requesting") a commission refers to the act of the commissioner to request an art or character designing commission made by me. May also refer to the act of requesting the purchase of a character.
I. Art commissions are digital drawings made of pre-existing characters.
II. Character designing commissions (also referred to as "custom(s)") are the creation of a character through a digital drawing made of it.
III. Character purchases are the act of purchasing a character design created by me.

2. I reserve the right to refuse a commission or character purchase request for any reason without the need for further explanation.

3. Character purchase requests may be done through:
I. Contacting me via private messages on my Discord or ToyHouse account;
II. Commenting on the ToyHouse profile of the character of interest.

4. Commissions must be ordered through:
I. Google Forms ("form(s)");
II. Ko-Fi ("Ko-Fi request(s)").
This measure is to ensure the commission is delivered correctly and the existence of proof of the order made.

.
5. Character purchase requests will only be accepted if:
I. The succeeding owner owns an active ToyHouse account;
II. The succeeding owner agrees to all of my terms;
III. The offer made is equal or higher than the price stipulated by me;
IV. The character is not on hold for someone else.

.
6. Commission requests will only be accepted if:
I. My commissions are open at the time of the request;
II. A form / Ko-Fi request is filled;
III. The commissioner fills the form / Ko-Fi request correctly;
IV. The commissioner agrees to all of my terms;
V. The commission does not include anything that may violate any of my terms.

7. Deadlines for commissions must be discussed with me beforehand and may only be accepted upon the payment of a fee (referred to as "deadline fee").
Deadlines are subject to the following rules:
I. The commissioner must contact me at least one month before the deadline;
II. The commission is subject to increase of its total value by a deadline fee;
III. I reserve the right to refuse a commission request with a deadline for any reason without the need of further explanation;
IV. Tight deadlines are unlikely to be accepted.

8. Changes on the commission order are only allowed if:
I. The form / Ko-Fi request is updated to reflect the change;
II. The previous order hasn't started being drawn by the time of the change request.
If the previous order has already started being worked on, the order will be changed only upon the payment of a fee, proportional to the time spent and work done by me.

9. People who are on my blocklist are prohibited to purchase my services or be in possession of characters created by me.
Anyone who purchases any of my services/characters to people on my blocklist will be added to the list and have the order declined or terminated.

10. The request of a commission or character purchase on behalf of another person ("party(ies)") is allowed as long as:
I. You, as the commissioner/purchaser, represent and warrant that you're authorized to accept my Terms of Service on that person's behalf;
II. Both parties (you, the commissioner/purchaser, and the person receiving the commission/character) agree to comply to all of my terms;
III. The other person is not listed on my blocklist (regardless of whether the list has been updated to reflect the blocklisted person's current username or not);
IV. The other person owns the character and allows to have commissioned art made of it (in the case of an art commission);
V. The other person owns an active ToyHouse account to be used to receive character transfers (in the case of the purchase of a character or of a character design commission).

4. WAITLIST
.
1. Waitlist is a list of people who are interested in commissioning me when my commission slots open (hereinafter referred to as "waitlisted person/people"), in the case the slots are currently closed.
My waitlist is hosted on my current Trello, under the "Waitlist" list.

2. To be part of my waitlist, I must be contacted and informed of:
I. Contact method;
II. Which username should be written on the waitlist;
III. What kind(s) of service(s) the person is interested in.
Only the own person may request their name to be added to my waitlist. It's prohibited to have someone else requesting on their behalf.

3. People on my waitlist will be contacted in order of request whenever new slots of the commission they are interested on are open.
Once the waitlisted person's slot is claimed, their name will be removed from the waitlist.

4. The reopening of my commissions is not immediate and does take some time.
People interested on being part of my waitlist must have this information in mind.

5. Waitlisted people may:
I. Request to be removed from my waitlist anytime;
II. Request to wait for as many commission types as they want;
III. Request to be added anytime, as long as their previous slot was completed.

5. DOS AND DON'TS
.
1. This section lists what kind of elements I draw ("dos") and don't draw ("dont's") regarding commissions.
Anything on the 5.3. subsection is undebatable.
In case a specific element is not covered below, I can be asked about it.

2. DOS:
I. Any species*;
II. Canon characters (for art commissions);
III. Real people (with their consent);
IV. Armor;
V. Mecha;
VI. Blood / Gore;
VII. Complex designs.
As stated on the 2.6 subsection, some of the elements mentioned above may be subject to a complexity fee.
* I'll only accept character design commissions for Closed Species designs if either a valid unused MYO slot under the name of the commissioner/succeeding owner is presented or the current owner of the species provides a written permission.

3. DON'TS:
I. NSFW;
II. Nudity;
III. Hateful/Hurtful content/imagery;
IV. Illegal content/imagery;
V Tracing;
VI. Copying / Heavily referencing;
VII. Copyright or TOS infringement;
VIII. Art of a character without the owner(s)'s consent;
IX. Redesign of a character without the designer(s)'s consent.

4. Regarding the 5.3 subsection:
I. I have no obligation to check wether a request or commission includes an element that falls under any of the categories mentioned;
II. In case I am made aware a request or commission includes an element that falls under any category mentioned, it will be denied or terminated;
III. I reserve the right to add people who request commissions with the elements mentioned to my blocklist.

6. PROCEDURE OF COMMISSIONS
.
1. The commissioner must remain respectful and patient throughout the whole commissioning process.
Rudeness, lack of respect and crossing of boundaries will not be tolerated and may result in:
I. Blocking (including IP block);
II. Blocklisting;
III. Termination of the commissioning process without compensation or refund, regardless of the stage of the commission.

2. The progress ("step(s)" and "WIP(s)") of the commission will be shared with the commissioner.
The sharing of the commission progress may include the following steps:
I. Sketch;
II. Lines;
III. Base colors;
IV. Shading;
V. Any requested changes;
VI. The finished commission.
Steps vary according to the type of the requested commission.

3. Whenever a step is shared with the commissioner, the later may allow me to continue working on the commission ("approval") or request changes to be made before proceeding. All approvals are final.
It's adivised the commissioner state all changes needed at once on each progress update to prevent delaying or application of fees (explained on the subsections 3.8 and 6.11).

4. I reserve the right to:
I. Work on other pieces (such as, but not limited to, personal art) in-between commissions;
II. Work on commissions without following the order of request;
III. Have breaks in-between commissions.

.
5. I provide a public Trello board where commissioners have access to:
I. Their commission progress;
II. Updates on my workflow;
III. Updates on my commission status;
IV. My waitlist;
V. Other projects I'm working on.
Commissioners are encouraged to "watch" the card of their commission on my Trello to receive real-time updates regarding it.
Cards may contain information regarding commissions (including, but not limited to: links to characters and notes from commissioners) for easier access by me.

6. I have no obligation of individually noting each commissioner regarding breaks or delays.
Updates regarding my workflow (including any breaks or delays) are made on the 'Workflow Status Updates' list on my Trello.

.
7. My Trello's board is reset every year, meaning all previous commissions are erased and its link is updated.
.
8. Turnaround time may vary depending on the type of commission requested, quantity of other projects being worked on and for personal reasons.
Turnaround usually varies from a day to a couple of months.
In extreme cases, a commission may take up to one year to be completed.

9. Commissions will only progress upon the approval by the commissioner of any shared steps.
In case the commissioner ceases replying:
I. The commission will be put on hold for up to one year from the last reply from the commissioner;
II. In case the commissioner does not answer within the one-year period limit, the commissioning process will be terminated without compensation or refund, regardless of the stage of the commission.

10. It's the commissioner's sole responsibility to maintain me informed in case of inactivity. The commissioner must provide a method of communication they're active on within the options made available by me.
I am not obligated to keep asking for replies from the commissioner.

.
11. As mentioned on the subsection 3.8, commission orders that already started being worked on will only be changed only upon the payment of a fee, proportional to the time spent and work done by me.
Changes are subject to the following rules:
I. Request of resizing of the piece is only available during the sketching phase;
II. Minimal adjustments may be made for free, excluding large scale fixings.

12. In case the commissioner transfers the ownership of the character I got commissioned to draw before the completion of the commission, the piece will be finished and delivered to the current owner of the character.

13. It's the commissioner's sole responsibility to ensure I have access to clear visual references of the character(s) I get commissioned to draw until the commission is finished.
In case the commissioner loses access in any way to the character I got commissioned to draw before the completion of the commission, the commissioning process will be terminated without compensation or refund, regardless of the stage of the commission.

7. DELIVERY OF THE FINISHED PRODUCT
.
1. All art and character designs made by me are digital products only.
No art nor character design made by me comes in physical form nor is shipped.

.
2. I am not responsible for any unsatisfactory elements of the finished art / character design if no feedback was given to amend it.
.
3. Colors and shapes may vary from the original references provided due to my art style, which cannot be altered.
All art and character design commission types have at least one example of a finished piece to ensure the commissioner have an estimate of how their commission will turn out.

4. Regarding the delivery of finished commissions or character purchases:
I. I'm only responsible for the delivery of art / character designs directly commissioned/purchased from me;
II. I'm only responsible for the delivery of finished art / character designs;
III. I reserve the right not to deliver to the commissioner any other steps of their commission (such as, but not limited to: bare sketch / lines or separated layers);
IV. I reserve the right to delete any files from my DeviantArt's stash after confirmation of download by the commissioner.

5. All art pieces / character designs will be delivered with the following characteristics:
I. Its original resolution;
II. Transparent background;
III. The .PNG file format;
IV. My watermark/signature on it.
.PSD and similar types of files are never sent to commissioners/purchasers.

.
6. The delivery of art commissions may be done through:
I. Direct transfer of the image(s) to the character(s)'s ToyHouse gallery;
II. Uploading of the image(s) to DeviantArt's stash, with the link sent to the commissioner;
III. Sending the image(s) through e-mail.
Regarding the methods mentioned above, it's the commissioner's sole responsibility to:
I. Accept any ToyHouse image transfer requests;
II. Download any files from the stash link sent to them;
III. Confirm receipt of the email sent to them.

7. The delivery of character designs, wether it's a commission or a purchase of a pre-existing character, will only be done through the upload and transference of the character's ToyHouse profile to the commissioner's/purchaser's ToyHouse account.
It's the commissioner's/purchaser's sole responsibility to accept the ToyHouse character transfer request.

8. Commissioners/purchasers must have an active ToyHouse account to own character designs made by me.
.
9. Regarding finished commissioned art or character design pieces, I reserve the right to:
I. Use the finished piece as a commission example;
II. Post the finished piece on any of my social medias or portfolio.
The commissioner may request not to have their commission posted publicly. Lack of request to maintain the piece private will lead to the assumption that posting is allowed.

10. I reserve the right to:
I. Reuse elements (including, but not limited to: palettes, patterns and specific traits) present in character designs made by me for the creation of other designs*;
II. Use any discarded (not approved) poses, expressions and designs on other art pieces or designs.
Upon submission of an idea to me, the commissioner agrees that they will not receive compensation for the reuse of the idea.
* In case of a character design commission, permission of the commissioner will be requested when reusing features. In case of an "adoptable" character design, a disclaimer may be put on the character's profile.

8. COPYRIGHT & CREDITING
.
1. I will always retain all rights to anything made by me.
Including, but not limited to: art pieces, character designs, concepts and stories.

2. Claiming/Attributing the creation/rights of anything made by me to others is prohibited.

3. Never erase nor alter my signature/watermark in any way.
I. Commissioners may request me to replace or resize, within reason, a signature/watermark on the commissioned art / character design.
II. It's prohibited to add any permanent watermarks/signatures to anything made by me without explicit permission from me.
Removable watermarks, such as the Toyhou.se watermarking system, are allowed.

4. The current owner of an art piece / character design made by me retains the following rights:
I. Ownership of the art piece / character design;
II. Right to personal usage.

5. Commercial use of anything made by me is prohibited.
.
6. Crediting may be done via:
I. Tagging me;
II. Linking my Carrd (deityve.carrd.co) somewhere visible.
Only mentioning my (user)name without directly tagging or linking back to me is not an accepted form of crediting.

7. Crediting me is obligatory on the first usage/post containing a design/art piece made by me.
I. Crediting me is not necessary on every usage/post made with an art piece or design made by me, though it is appreciated.
II. Images made by me and uploaded to Toyhouse should always be credited to my Toyhouse account (Yve).

9. GENERAL USAGE

1. This section lists general rules for the usage of both art pieces and character designs made by me.

IV. Heavily reference;
V. Take heavy inspiration from;
VI. Claim or attribute to others the creation of / rights to anything made by me.

2. Art pieces, character designs and anything else made by me is for personal usage only.
Commercial use / profiting in any way from anything made by me is prohibited.

3. It's prohibited to use/involve anything made by me in any way with:
I. Non-Fungible Tokens (NFTs);
II. Cryptocurrency / Blockchain;
III. Artificial Intelligence (AI);
IV. Anything that goes against any of my Terms.

4. The use of anything made by me to create/promote illegal and/or hateful content in any way is prohibited.

5. It's prohibited to share/post anything made by me on Amino, similar sites and sites known for having no or poor regulations.

6. No design made by me should be sold anywhere other than on Toyhou.se without explicit permission from me.

7. The current owner of art / character designs made by me are prohibited to transferring the ownership of my work to people:
I. With a history of breaking others' Terms;
II. Who condone, partake in or create illegal/hateful content/actions.

8. People on my blocklist are prohibited to use and/or be on possession of anything made by me in any circumstances.

10. TERMINATION & LAW
.
1. I do reserve the right, in my sole discretion and at any time, to terminate or suspend your commission request / character purchase and/or block or revoke your access to my art and character designs for any reason including, but not limited to, if you have failed to comply with these Terms.
You agree that I shall not be liable to you or any third party for any termination or suspension of your commission request / character purchase, for blocking your access or revoking your ownership to any art / character designs made by me.

2. Choice of Law: These terms shall be construed in accordance with the laws of the Federative Republic of Brazil.
Any legal proceedings against me that may arise out of, relate to, or be in any way connected with services, products or these terms shall be brought exclusively in the federal courts of Brazil.

3. Modifications to these terms will be effective immediately upon the update of this site's page.
It is your responsibility to review these terms from time to time for any changes.
Your requesting or commission/purchase or possession of anything made by me following any modification of these terms will signify your acceptance of the updated terms.

4. If any part of these terms is unlawful or unenforceable for any reason, we both agree that only that part of these terms shall be stricken and that the remaining terms shall not be affected.

5. These terms (excluding the summary constitute the entire agreement of the parties with respect to the subject matter hereof, and supersede all previous written or oral agreements between us with respect to such subject matter.

6. You may not assign these terms or assign any rights or delegate any obligations hereunder, in whole or in part, without my prior written consent.
Any such purported assignment or delegation by you without the appropriate prior written consent will be null and void and of no force and effect.

4. It's prohibited to share/post art made by me on Amino, similar sites and sites known for having no or poor regulations.

5. All art I am commissioned to make is for personal usage only.
Commercial use / profiting in any way from any art made by me is prohibited.

6. Owners of art made by me may use the art for:
I. Icons / profile pictures;
II. Wallpapers;
III. Headers, dollpages and as general decorations for personal sites / socials.

7. Art made by me cannot be used in similar way as following, without explicit permission from me:
I. Zines;
II. Covers (including, but not limited to: for albums and books);
III. Famcans / edits / videos;
IV. Thumbnails;
V. Logos;
VI. Pamphlets / advertisments;
VII. Similar uses as the above examples.

8. The current owner of an art piece made by me is allowed to make physical objects/items out of the art as long as:
I. No item made is sold;
II. All items made are exclusively for personal use;
III. No physical item made goes against my terms.
Examples of physical items allowed to be made out of art made by me: stickers, plushies, keychains, shirts, etc.

11. ART CREDITING
.
1. Credit is required when using art made by me.

2. When posting art made by me on social medias, credit is only obligatory on the first post (for each social media).

3. When using art made by me as an asset for a personal site / social media, the art should have visible and easily accessible credit to me somewhere.

4. Crediting me should be done either via directly tagging me (in case I am also an user of the social media) or linking my carrd (deityve.carrd.co).

12. ART EDITING
.
1. Art made by me may be slightly edited / altered.
Examples of editions that are allowed:
I. Alternative colors;
II. Addition of filters;
III. Slight adjustments.

2. The edition of an art piece made by me is only allowed if:
I. The original, unaltered art / file is kept available somewhere;
II. The current owner of the art approves the edition;
III. All editions made comply with the rules described on my terms.

3. The rules of my terms will always apply to all art made by me, no matter how much it gets edited by others nor the nature of the editions.

4. I will always retain the credits and rights to all art made by me, no matter how much it gets edited by others nor the nature of the editions.
The following rules apply to all editions of art pieces made by me:
I. Editors are not allowed to add their own terms to my art nor claim any rights over it;
II. Editors may be credited for their respective editions only;
III. Credits should be similar to the following example: "Art by Yve, editions by (name)".

13. CHARACTER DESIGN USAGE

1. All character designs made by me are subject to all rules presented on my General Terms.

2. All character designs made by me will be uploaded to ToyHou.se so the characters' whereabouts are easily tracked.

3. Regarding the ToyHouse site, the current owners of character designs made by me must obey the following rules:
I. Deleting a character's profile from ToyHouse is prohibited;
II. Changing the character's original profile or re-uploading a character must only be done upon explicit permission from me;
III. If privatig or similarly limiting the access to the profile of a character, I must be authorized to view and/or provided with an access link to the character. This is so ensure I am able to keep track of it;
IV. In case a owner is leaving the site / will have their account closed for any reason, I must be contacted to discuss the the character's destination.

4. No character design, including all of its aspects, made by me should be, in any way, without explicit permission from me:

6. Owners of character designs made by me may use the character for:
I. Personal stories;
II. Personal mascots / personas;
III. Personal roleplaying / worldbuilding;
IV. Personal, not monetized webcomics, animations and similar works.

7. Character designs made by me cannot be used in similar way as following, without explicit permission from me:
I. Zines;
II. Monetized webcomics;
III. Monetized famcans / edits / videos;
IV. As a virtual youtuber / streamer;
V. As a mascot for brands / franchises / events;
VI. As a character of a franchise;
VII. Similar uses as the above examples.

8. The current owner of a character design made by me is allowed to have physical objects/items made out of the character as long as:
I. No item made is sold;
II. All items made are exclusively for personal use;

14. CHARACTER DESIGN CREDITING

1. Credit is required when using character designs made by me.

2. When posting character designs made by me on social medias, credit is only obligatory on the first post (for each social media).

3. Crediting me should be done either via directly tagging me (in case I am also an user of the social media) or linking my carrd (deityve.carrd.co).

15. CHARACTER DESIGN EDITING / REDESIGNING
.
1. Character designs made by me may be edited / altered ("redesign") / have alternative forms made of it.
Examples of changes allowed:
I. Changing the species of the character;
II. Making a "Closed Species" version of the character;
III. Making alternative versions of the character with slight changes;
IV. Changing up to 50% of the character's design.

2. Creating a "Closed" or Original species out of a character design made by me is prohibited.

3. Taking slight inspiration from designs made by me is allowed as long as the current owner allows it.

4. The redesign of a character design made by me is only allowed if the rules below are followed:
I. The original, unaltered character design is kept available somewhere;
II. The current owner of the character approves the redesign;
III. The redesigned character must resemble / be recognizable as the original design made by me;
IV. All editions made comply with the rules described on my terms.

5. The rules of my terms will always apply to all character designs made by me, no matter how much it gets edited/redesigned by others nor the nature of the editions.

6. I will always retain the credits and rights to all character designs made by me, no matter how much it gets edited by others nor the nature of the editions.
The following rules apply to editions/redesigns of character designs made by me:
I. Redesigners are allowed to add their own terms to their respective redesign, as long as their terms do not override mine and the redesignee does not claim any rights over the character (redesigned or not);
II. Redesigners may be credited for their respective editions only. They are allowed to be added as a designer on the character's ToyHouse profile.;
III. Crediting should be similar to the following example: "Character design by Yve, redesign by (name)".

7. The original design cannot be separated from any redesigns / alternative forms it may have. They must be kept together and treated as a single character.

16. OWNERSHIP TRANSFER / RESELL & RETRADE

1. Character designs made by are prohibited from being traded, gifted, sold or similarly transferred to people outside of ToyHou.se.
All current/new owners must have an active ToyHou.se account to own character designs made by me.

In case a future owner doesn't have a ToyHou.see account, I may be contacted to assist on the acquisition of an invite code.

2. All character designs made by me should be under the ToyHou.se account of the current owner.
If the character is traded, gifted, sold or similarly transferred, the character's profile must be transferred to the new owner's ToyHou.se account.

3. I do not take responsibility for any transactions other than the original sale/trade made by me.~

4. Character designs made by me only may be resold if:
I. The character was directly bought from me;
II. Self-made or commissioned art pieces, physical items, written pieces and/or similar types of work have been added to the character.

5. Regarding the sale of character designs made by me, the following rules apply to the sale:
I. The reselling price cannot be higher than what it was originally bought for unless it has art or similar works (as described on the section 16.3) and the ireselling price is equivalent to the works' value;
II. Free works and works obtained in trades do not increase the reselling value;
III. Vouchers, gift cards and similar are have monetary value, therefore are not allowed in trades;
IV. Characters made by me are prohibited from being sold for cryptocurrency.

6. All transfers of character designs made by me must be lawful, which means:
I. If the character has explicit content attached to it, it cannot have its ownership transferred to minors, unless the content is deleted prior the transfer;
II. The character cannot be traded, sold or similarly transferred for illegal items/content.

7. It's prohibited to put character designs made by me for sale/offers on Amino, similar sites and sites known for having no or poor regulations.
